“موانىء دبي العالمية” تعتزم الاستحواذ على 71.3% من أسهم “بويرتوس واي لوجستيكا أس إيه”

أعلنت “موانىء دبي العالمية”، اليوم، توقيع اتفاقية تستحوذ بموجبها على حصة 71.3 % من أسهم “بويرتوس واي لوجستيكا أس إيه- بولوجسا” من “مينيرا فالبارايسو” وعدد من المساهمين الآخرين في “مجموعة ماتي”.
وأضافت “موانئ دبي العالمية” في بيان لها تلقت “أرقام” نسخة منه، أن عملية الاستحواذ ستنفذ من خلال عرض مناقصة لشراء جميع الأسهم القائمة في الشركة.
وقالت إنها ستقدم بموجب المناقصة مبلغاً قدره 502 مليون دولار مقابل الحصول على ملكية 100% من الأسهم، مشيرةً إلى أن المبلغ يخضع لعدد من التعديلات في اتفاقية شراء الأسهم مع مجموعة “ماتي”.
وتوقعت أن تحقق عملية الاستحواذ هذه أرباحاً متراكمة بنهاية العام المالي الأول بعد الدمج وسيتم تمويلها من موارد الميزانية العمومية القائمة.
وأشارت إلى أن الصفقة تخضع للموافقات ذات الصلة، متوقعةَ إتمامها في النصف الأول من العام الجاري.
ويجدر الإشارة إلى أن شركة “بولوجسا” مدرجة في سوق “سانتياغو للأوراق المالية”، وقد بلغت ديونها في 30 سبتمبر من العام الماضي نحو 226 مليون دولار.
